Common use of Listing and Maintenance Requirements Compliance Clause in Contracts

Listing and Maintenance Requirements Compliance. Except as set forth in Schedule 2.1(p), the Company has not in the two years preceding the date hereof received written notice from any stock exchange or market on which the Common Stock is or has been listed (or on which it has been quoted) to the effect that the Company is not in compliance with the listing or maintenance requirements of such exchange or market.

Listing and Maintenance Requirements Compliance. Except as set forth in on Schedule 2.1(p2.1(r), the Company has not in the two three years preceding the date hereof received notice (written notice or oral) from any stock exchange exchange, market or market trading facility on which the Common Stock is or has been listed (or on which it has been quoted) to the effect that the Company is not in compliance with the listing or maintenance requirements of such exchange or market. Except as specifically set forth on Schedule 2.1(r), after giving effect to the transactions contemplated in this Agreement, the Company believes that it is in compliance with all such maintenance requirements.

Except Other than as set forth specifically listed in Schedule 2.1(p3.1(q), the Company has not in the two years preceding prior to the date hereof received written notice from any stock exchange or market on which the Common Stock is or has been listed (or on which it is or has been quoted) to the effect that the Company is not in compliance with the listing or maintenance requirements of such exchange or market. The Company has provided to the Purchaser true and complete copies of any notices referenced in Schedule 3.1(q).

Except as specifically set forth in Schedule 2.1(p2.1(r), the Company has not in since March 26, 1997 received notice (written or oral) from the two years preceding the date hereof received written notice from NASDAQ or any other stock exchange exchange, market or market trading facility on which the Common Stock is or has been listed (or on which it has been quoted) to the effect that the Company is not in compliance with the listing or maintenance requirements of such exchange or market. Except as specifically set forth in Schedule 2.1(r), the Company is in compliance with all such maintenance requirements.

The Company has provided the Purchaser with complete copies of all notices described on Schedule 2.1(r). The Company is in compliance with all such maintenance requirements.

The Company is in compliance with all such maintenance requirements.
