Common use of Litigation Matters Clause in Contracts

Litigation Matters. There is no pending (or, to its knowledge, threatened) action, proceeding, investigation or injunction, writ or restraining order affecting Seller or any of its Affiliates before any court, governmental entity or arbitrator which could reasonably be expected to result in a Material Adverse Change, and Seller is not currently the subject of, and has no present intention of taking any action to commence, an Insolvency Event applicable to Seller.

Litigation Matters. There is no pending (or, to its knowledge, threatened) action, proceeding, investigation or injunction, writ or restraining order affecting Seller or any of its Affiliates Servicer before any court, governmental entity or arbitrator which could reasonably be expected to result in a Material Adverse Change, and neither Seller nor Servicer is not currently the subject of, and has no present intention of taking any action to commence, an Insolvency Event applicable to SellerSeller or Servicer.

Litigation Matters. There is no pending (or, to its knowledge, threatened) action, proceeding, investigation or injunction, writ or restraining order affecting Seller Purchaser or any of its Affiliates before any court, governmental entity or arbitrator which could reasonably be expected to result in a Material Adverse Changematerial adverse effect on Purchaser’s ability to purchase the Accrued Receivable from Seller or otherwise perform its obligations under this Agreement, and Seller Purchaser is not currently the subject of, and has no present intention of taking any action to commence, an Insolvency Event applicable to SellerPurchaser.
