Litigation, Orders and Injunctions. There is no material Proceeding pending or, to Buyer’s Knowledge, Threatened against Buyer or any of its subsidiaries or their assets, and none of Buyer or any of its subsidiaries is a party or subject to any material restriction or limitation on any of its operations under any order or injunction of any Governmental Authority, except, in each case, as would not adversely affect Buyer’s ability to consummate the transactions contemplated herein.
