LLC Member. Miami International Holdings, Inc. is the sole LLC Member of the Company. The mailing address of the LLC Member is 0 Xxxxxx Xxxx, Suite 1A, Princeton, NJ 08504.
LLC Member. The mailing address of the LLC Member is set forth on Schedule B attached hereto. The LLC Member was admitted to the Company as an LLC Member of the Company upon its execution of a counterpart signature page to the Operating Agreement at which time it acquired 100% of the limited liability company interests of the Company.
LLC Member. The mailing address of the LLC Member is set forth on Exhibit A attached hereto. IEX Group, Inc. was admitted to the Company as the LLC Member of the Company upon its execution of a counterpart signature page to the Original Operating Agreement at which time it acquired 100% of the limited liability company interests of the Company.
LLC Member. The sole members of the Transferee shall at all times be one or more trusts created under the Agreement, dated May 17, 2024, between A. Lxxxx Xxxx, as Settlor, and Brown Advisory Trust Company of Delaware, LLC, as Trustee (the “Trust Agreement”) (collectively, the “Trust”). Transferee represents and warrants that the trustee of the Trust has certified under penalties of perjury that the Trust qualifies as a “family member” under the instructions to SEC Form S-8 (a “Family Member”) for purposes of registering the transfer of the Transferred Units to the Transferee.
LLC Member. The LLC Member shall be the Trust which is the sole holder of the LLC Membership Interests.
