lnformation Provided by the Consultant. No infonnation or advice provided or inaterialsprepared by the Consultant as a result ofits activities hereunder may be disclosed, in whole or in xxxx, or summarized, excepted from or otherwise refen-ed to a third party outside ofthe Executive Branch (other than, on a confidential, non-reliance, need to know basis, to the COR3/P3 Authority's employees, advisors, counsel and other representatives) without the Consultant's prior written consent, unless compelled by law or court order. In addition, the Authority agrees that any reference to the Consultant in any press release or communication is subject to the Consultant's prior written approyal, _ which may be given or withheld in its reasonable discretion, for each such reference. Notwitltstanding the foregoing, the Consultant agrees tltat the restrictions set forth by this Section 4.1 shall be effective solely during the Term ofthis Agreement, and once the Term has ended, either due to successful completion, expiration or termination or cancellation by the COR3IP3 Authority, such infonnation or materials may be disclosed at the COR3/P3 Authority's discretion.

  • Title to Confidential Information a) Transnet will retain all right, title and interest in and to its Confidential Information and Background Intellectual Property and the Supplier/Service Provider acknowledges that it has no claim of any nature in and to the Confidential Information and Background Intellectual Property that is proprietary to Transnet.   • Confidential Information Breach This shall mean, generally, an instance where an unauthorized person or entity accesses Confidential Information in any manner, including but not limited to the following occurrences: (1) any Confidential Information that is not encrypted or protected is misplaced, lost, stolen or in any way compromised; (2)one or more third parties have had access to or taken control or possession of any Confidential Information that is not encrypted or protected without prior written authorization from the State; (3) the unauthorized acquisition of encrypted or protected Confidential Information together with the confidential process or key that is capable of compromising the integrity of the Confidential Information; or (4) if there is a substantial risk of identity theft or fraud to the Client Agency, the Contractor, DAS or State.

  • Excluded Confidential Information The obligations of the Receiving Party pursuant to the provisions of this Agreement shall not apply to any Confidential Information that:
