Local Authority Concessionary Fares Schemes. (a) The Operator shall participate in: (i) the concessionary fares schemes described in Part 7(a) of Schedule 1, or as amended or introduced pursuant to Clause 9.4(e) ; and (ii) if so requested by the Awarding Authority, such other concessionary fares schemes as any relevant Local Authority may require or request it to participate in, provided that the terms of any such scheme or the obligations assumed by the Local Authority in connection therewith are such as to result, by way of distribution of income or otherwise, in the reasonable opinion of the Awarding Authority, in the Operator not being financially worse off (applying the principles of Part II of the Travel Concession Schemes Regulations 1986) as a result of any such participation. (b) The Awarding Authority shall consult with the Operator before making any request for it to participate in any new schemes under Clause 9.4(a) and shall allow the Operator a reasonable opportunity to make representations to it with respect to any such participation. (c) Subject to the terms of the relevant scheme, the Operator shall be entitled to cease to participate in any concessionary fares scheme (d) referred to in Clause 9.4(a)(ii) if, in the reasonable opinion of the Awarding Authority, continuing participation would result in the Operator being financially worse off (applying the principles of Part II of the Travel Concession Schemes Regulations 1986) as a result of such participation. (e) The Operator shall supply to the Awarding Authority within such period as it may reasonably require for the purposes of determining whether or not the Operator is or will be financially worse off (within the meaning of Part 2 of the Travel Concession Schemes Regulations 1986). Provided that if the Authority and the Operator are unable to agree whether or not the Operator is or will be financially worse off (within the meaning of Part II of the Travel Concession Schemes Regulations 1986) they may resolve such dispute in accordance with the Dispute Resolution Rules. (f) The Awarding Authority may amend the concessionary fares schemes described in Part 7(a) of Schedule 1 (being those schemes to which the Awarding Authority is a party) or introduce new concessionary fares schemes in which the Operator shall participate provided that the Contract Payments shall be adjusted, if required, so as to ensure that the Operator is financially no worse off (within the meaning of the Travel Concession Scheme Regulations 1986) as a result ...

  • Voice Grade Unbundled Copper Sub-Loop Unbundled Sub-Loop Distribution – Intrabuilding Network Cable (aka riser cable)

  • Sub-licensing CytRx shall be entitled to grant sub-licences of its rights under the terms and conditions of Clause 2.1 of this Agreement to any person, provided that: (a) the sub-licence shall include performance and financial obligations on the sub-licensee which are at least equivalent to the obligations on CytRx under this Agreement; (b) the sub-licence shall continue following the termination of this Agreement for any reason as a licence between ICIL and the sub-licensee pursuant to clause 14.5.2, provided that if the royalties and other consideration provided for in the sub-licence are less that that provided for in this Agreement such royalties or other consideration shall be increased to be the same as provided for in this Agreement and further provided that the sub-licensee agrees in writing to such new financial terms and to the substitution of CytRx by ICIL; (c) within thirty (30) days of the grant of any sub-licence CytRx shall provide to ICIL a summary of the material terms of the sub-licence and a written agreement from the sub-licensee to be bound by the provisions of this Agreement to the extent applicable; (d) except in the case of the continuation of the licence pursuant to Clause 2.5(b) CytRx shall be responsible for any breach of the sub-licence by the sub-licensee, as if the breach had been that of CytRx under this Agreement, and CytRx shall indemnify ICIL against any loss, damages, costs, claims or expenses which are awarded against or suffered by ICIL as a result of any such breach by the sub-licensee; and (e) no sub-licence shall carry any right to sub-sub-licence all of the rights granted to CytRx under this Agreement without the consent of ICIL (such consent not to be unreasonably withheld) save that a sub-licence can be sub-licensed for the purposes of manufacture or co-marketing without the consent of ICIL.

  • Import Licensing 1. Each Party shall ensure that all automatic and non- automatic import licensing measures are implemented in a transparent and predictable manner, and applied in accordance with the Agreement on Import Licensing Procedures in Annex 1A to the WTO Agreement. 2. Each Party shall promptly notify the other Parties of existing import licensing procedures. Thereafter, each Party shall notify the other Parties of any new import licensing procedures and any modification to its existing import licensing procedures, to the extent possible 60 days before it takes effect, but in any case no later than within 60 days of publication. The information in any notification under this Article shall be in accordance with Article 5.2 and 5.3 of the Agreement on Import Licensing Procedures in Annex 1A to the WTO Agreement. 3. Upon request of another Party, a Party shall, promptly and to the extent possible, respond to the request of that Party for information on import licensing requirements of general application.

The UCL is a copper twisted pair Loop that is unencumbered by any intervening equipment (e.g., filters, load coils, range extenders, digital loop carrier, or repeaters) and is not intended to support any particular telecommunications service. The UCL will be offered in two types – Designed and Non-Designed.
