Local Banks. Charges As set forth in the Letter Agreement, CCC does not form part of the ProjectCo/SPV, and the proposal would see CCC novating or assigning the concession responsibilities to this entity. CCC would remain responsible for the construction portion of the Project only. The precise vehicle for the completion of the proposed structure will require further discussion in the agreements phase of the development. The Concessionaire’s Responsibilities ProjectCo will, in accordance with the concession agreement, and after novation by CCC, have the exclusive right and responsibility to assume the financial, technical and operational risks and benefits associated with the development, operation and maintenance of new airport infrastructure and management of the airport business. It will have the obligation to provide a safe and efficient operation of the airport’s assets throughout the concession period. These responsibilities include:  Committing to complying with the safety and security requirements of the Civil Aviation Authority and agreed levels of service based on ICAO service levels.  Managing both the airport development process and committed capital expenditure program agreed as part of the concession contract including the tendering and award of contracts.  Setting charges within any economic regulation agreed as part of the concession contract. A commercial arrangement will also be between the Concessionaire and Bermuda establishing agreement on the regulated charges that will apply to the Project including the manner in which such charges will be increased over time based on inflation and such other adjustments as are necessary and required to fund future capital or expansion programs.  The exclusive right to develop and manage new businesses on the airport property to diversity revenue and risk and maximize economic development  Manage and develop the airport commercial business.  Receive all revenues from airport operations, and bear the corresponding costs of operation.  Undertaking airport marketing and route development / support activities including the development of incentive programs. (This will be done as a coordinated team with the BTA, BDA and other key stakeholders on the island)  Liaising with all statutory bodies including the DCA, the DAO, and the provider of air traffic control and air navigation services.   • Depository Banks The Borrowers and their Subsidiaries will maintain the Administrative Agent as its principal depository bank, including for the maintenance of operating, administrative, cash management, collection activity, and other deposit accounts for the conduct of its business.

  • Replacement Banks (a) So long as no Default shall have occurred and be continuing, the Borrower may, at any time, replace any Bank that has requested compensation from the Borrower pursuant to Section 6.1 or 6.7 hereof, or whose obligation to make additional Eurodollar or Money Market Loans has been suspended pursuant to Section 6.1(b) or 6.3 hereof, or any Bank that is a Defaulting Bank (any such Bank being herein called an “Affected Bank”) by giving not less than 10 Business Days’ prior notice to the Administrative Agent (which shall promptly notify such Affected Bank and each other Bank) that it intends to replace such Affected Bank with one or more other lenders (including any Bank) selected by the Borrower and acceptable to the Administrative Agent (which shall not unreasonably withhold its consent). The method (whether by assignment or otherwise) of and documentation for such replacement shall be either a Transfer Supplement substantially in the form of Exhibit I or otherwise acceptable to the Affected Bank and the Administrative Agent (which shall not unreasonably withhold their consent and shall cooperate with the Borrower in effecting such replacement). Upon the effective date of any replacement under this Section 6.6(a) (and as a condition thereto), the Borrower shall, or shall cause the replacement lender(s) to, pay to the Affected Bank being replaced any amounts owing to such Affected Bank hereunder (including, without limitation, interest, Facility Fees, compensation and additional amounts under this Section 6, in each case accrued to the effective date of such replacement), whereupon each replacement lender shall become a “Bank” for all purposes of this Agreement having a Commitment in the amount of such Affected Bank’s Commitment assumed by it, and such Commitment of the Affected Bank being replaced shall be terminated upon such effective date and all of such Affected Bank’s rights and obligations under this Agreement shall terminate (provided that the obligations of the Borrower under Sections 6.1, 6.5, 6.7 and 13.3 hereof to such Affected Bank shall survive such replacement as provided in Section 13.6).

  • Banks The Agent may treat each Bank as a Bank, entitled to payments under this Agreement and as acting through its Facility Office(s) until it has received notice from the Bank to the contrary by not less than five Business Days prior to the relevant payment.

  • Non-Reliance on Administrative Agent and Other Banks Each Bank expressly acknowledges that neither the Administrative Agent nor any of its respective officers, directors, employees, agents, attorneys-in-fact or affiliates have made any representations or warranties to it and that no act by the Administrative Agent hereinafter taken, including any review of the affairs of the Borrower or any of its Subsidiaries, shall be deemed to constitute any representation or warranty by the Administrative Agent to any Bank. Each Bank represents to the Administrative Agent that it has, independently and without reliance upon the Administrative Agent or any other Bank, and based on such documents and information as it has deemed appropriate, made its own appraisal of and investigation into the business, assets, operations, property, financial and other condition, prospects and creditworthiness of the Borrower and its Subsidiaries and made its own decision to make its Loans hereunder and enter into this Agreement. Each Bank also represents that it will, independently and without reliance upon the Administrative Agent or any other Bank, and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit analysis, appraisals and decisions in taking or not taking action under this Agreement, and to make such investigation as it deems necessary to inform itself as to the business, assets, operations, property, financial and other condition, prospects and creditworthiness of the Borrower and its Subsidiaries. The Administrative Agent shall not have any duty or responsibility to provide any Bank with any credit or other information concerning the business, operations, assets, property, financial and other condition, prospects or creditworthiness of the Borrower or any of its Subsidiaries which may come into the possession of the Administrative Agent or any of its officers, directors, employees, agents, attorneys-in-fact or affiliates.

  • Issuing Banks For purposes of this Section, the term “Lender” includes each Issuing Bank and the term “Applicable Law” includes FATCA.
