Location of Office and Records. The principal place of business and chief executive office of Seller is located at 0000 Xxxxxxxxxx Xxxxxx Xxxx., Xxxxx 000, Xxx Xxxxxxxxx, XX, 00000. Originals or duplicates of any incidental Records evidencing Contracts and related Receivables that may be kept by the Seller shall be kept at, and only at, said offices, and Seller will not move its principal place of business and chief executive office or permit any Records or any books evidencing the Contracts and related Receivables that it may hold in its possession to be moved unless (i) the Seller shall have given to the Purchaser and the Trustee not less than 30 days’ prior written notice thereof, clearly describing the new location, and (ii) the Seller shall have taken such action, satisfactory to the Purchaser and the Trustee, to maintain the title or ownership of the Purchaser and any security interest of, or any filing in respect of title of, the Purchaser or the Receivables Trust, in the Receivables at all times fully perfected and in full force and effect.
