Main Contract Sample Clauses

Main Contract. ‘Main Contract’ means the Agreement / Contract entered into between the Employer and Xxxxxx Engineers and Contractors Private Limited or between the Employer and Joint Venture in which Xxxxxx Engineers and Contractors Private Limited is one of the constituents.

Main Contract. The Subcontractor acknowledges that it has had an opportunity to read and consider all provisions of the Main Contract (except the Contractor's prices) and any other Third Party Agreements on or before the date of this Subcontract. The Subcontractor is deemed to have full knowledge of and, in so far as they are applicable to the Subcontract Works, shall comply with the provisions of the Main Contract and any relevant Third Party Agreements. If there is any conflict between the provisions of the Main Contract, any relevant Third Party Agreement and the terms of this Subcontract, the terms of this Subcontract shall prevail. The Subcontractor shall carry out and complete the Subcontract Works and perform its duties and obligations under this Subcontract in such manner and so as to comply with and so as not to cause or contribute to any breach by the Contractor and/or the Employer or failure by the Contractor and/or the Employer to comply with the Main Contract or any Third Party Agreement. The Subcontractor shall indemnify the Contractor against any liability that the Contractor may incur to any other person whatsoever and against all claims, demands, proceedings, costs (including professional fees and interest) and expenses made against or incurred by the Contractor by reason of any breach by the Subcontractor of this Subcontract. These Conditions override any other conditions in the Subcontractor's quotations and/or proposals to carry out the Services or which the Subcontractor may subsequently seek to impose. No conduct by the Contractor shall be deemed to constitute acceptance of any terms put forward Without prejudice to Clause 3.3, the Subcontractor shall indemnify and hold harmless the Contractor against and from any breach, non observance or non performance by the Subcontractor and any Subcontractor's Persons; and any act or omission of the Subcontractor and any Subcontractor's Persons; which involves the Contractor incurring any liability and/or expense and/or costs and/or suffering any loss and/or damage under or arising out of; the Main Contract; and/or other subcontracts entered into by the Contractor in relation to the Main Contract Works; and/or any Third Party Agreements notified to the Subcontractor.

Main Contract. Main contract of the contract is as follows: The creditor with the debtor, Shenzhen Highpower Technology Co., Ltd. signed the Agreement of Line of Credit numbered 000455 Account Guarantee Agreement Issued in 2009 by (Shenzhen Buji Subbranch) Bank of China and the single agreements that have been signed or to be signed based on this agreement, and revisions or supplements are agreed to belong to the main contract of this contract.

Main Contract. This Subcontract shall be supplemental to an Agreement made or deemed to have been made as defined in the Schedule hereto and for the purpose of this Subcontract such Agreement shall hereinafter be called the Main Contract.

Main Contract. The Main Contract information is shown in Clause 2 of Annex I at end of this contract.

Main Contract. The Main Contract of this Contract is: The Domestic Commercial Invoice Discount Agreement (No. 2010 Xxx Xxxxx Tie Zi No.YD10-001) between the Creditor and the Debtor Fujian Yada Group Co., Ltd., and the individual agreements which have been signed and will be signed on the basis thereof, and amendments or supplements thereto, which are specified to be the Main Contract guaranteed hereunder.

Main Contract. The main contract of this Contract is: The Agreement of Credit Line and certain parts belong to Main Contract among other signed or being signed single agreement item, amendment or supplement based on above agreement; which signed between the Creditor and Debtor Shandong Longkong Development Co., Ltd, 2009 Yishui BOC GA 017#.

Main Contract. 3.1 Each of the Stakeholder NHS Trusts named hereby appoints the Lead Authority and authorises the Lead Authority to execute the Main Contract as agent for and on behalf of the Stakeholder NHS Trusts. 3.2 The Stakeholder NHS Trusts further authorise the Lead Authority to manage the Main Contract on their behalf in accordance with the provisions of the Main Contract and the Constitution of the Consortium. For the avoidance of doubt, the Stakeholder NHS Trusts agree that the Lead Authority shall be entitled to make decisions and to exercise discretion on their behalf to such extent as is required to enable the Lead Authority to comply with its obligations under the Main Contract or as otherwise contemplated by the Main Contract.

Main Contract. The Sub-Contractor shall be deemed to know the provisions of the Main Contract insofar as they apply to the Sub-Contract Works (other than details of the Contractor‟s pricing). The Contractor shall, if so requested by the Sub-Contractor, provide to the Sub-Contractor a copy of the Mains Contract (omitting details of the contractors pricing).

Main Contract. 1The provisions of the Main Contract shall apply to this Agreement (except as expressly varied by this Agreement) as if they were set out in full.
