Main Contract. The Subcontractor acknowledges that it has had an opportunity to read and consider all provisions of the Main Contract (except the Contractor's prices) and any other Third Party Agreements on or before the date of this Subcontract. The Subcontractor is deemed to have full knowledge of and, in so far as they are applicable to the Subcontract Works, shall comply with the provisions of the Main Contract and any relevant Third Party Agreements. If there is any conflict between the provisions of the Main Contract, any relevant Third Party Agreement and the terms of this Subcontract, the terms of this Subcontract shall prevail. The Subcontractor shall carry out and complete the Subcontract Works and perform its duties and obligations under this Subcontract in such manner and so as to comply with and so as not to cause or contribute to any breach by the Contractor and/or the Employer or failure by the Contractor and/or the Employer to comply with the Main Contract or any Third Party Agreement. The Subcontractor shall indemnify the Contractor against any liability that the Contractor may incur to any other person whatsoever and against all claims, demands, proceedings, costs (including professional fees and interest) and expenses made against or incurred by the Contractor by reason of any breach by the Subcontractor of this Subcontract. These Conditions override any other conditions in the Subcontractor's quotations and/or proposals to carry out the Services or which the Subcontractor may subsequently seek to impose. No conduct by the Contractor shall be deemed to constitute acceptance of any terms put forward Without prejudice to Clause 3.3, the Subcontractor shall indemnify and hold harmless the Contractor against and from any breach, non observance or non performance by the Subcontractor and any Subcontractor's Persons; and any act or omission of the Subcontractor and any Subcontractor's Persons; which involves the Contractor incurring any liability and/or expense and/or costs and/or suffering any loss and/or damage under or arising out of; the Main Contract; and/or other subcontracts entered into by the Contractor in relation to the Main Contract Works; and/or any Third Party Agreements notified to the Subcontractor.
Main Contract. Main contract of the contract is as follows: The creditor with the debtor, Shenzhen Highpower Technology Co., Ltd. signed the Agreement of Line of Credit numbered 000788 Account Guarantee Agreement Issued in 2010 by (Shenzhen Buji Subbranch) Bank of China and the single agreements that have been signed or to be signed based on this agreement, and revisions or supplements are agreed to belong to the main contract of this contract.

Main Contract. The main contract of this contract is: The contracts signed between Mortgagee and the Debtor Shandong Longkong Travel Development Co., Ltd from 17-11-2009 to 17-11-2012. including Loan contract, trade financing contract, guarantee letter, capital business and other credit guarantee contracts (refers in general: single contract), and the amendment and supplement of above contracts, in which the contracts are pointed as the Main Contract under the items of this Contract by all parties.
Main Contract. 3.1 Each of the Stakeholder PCTs named hereby appoints the Lead Authority and authorises the Lead Authority to execute the Main Contract as agent for and on behalf of the Stakeholder PCTs. 3.2 The Stakeholder PCTs further authorise the Lead Authority to manage the Main Contract on their behalf in accordance with the provisions of the Main Contract and the Constitution of the Consortium. THIRD INSTALMENT: Twenty percent (20%) of the Construction Price, being $17,000,000 shall be paid within three Banking Days of receipt by the Purchaser of a telefax notice from the Builder attaching a Stage Certificate in the form of the draft attached as Appendix V, countersigned by an Authorised Representative (or, in default thereof, the Classification Surveyor), certifying that Keel laying has taken place. FOURTH INSTALMENT: Twenty percent (20%) of the Construction Price, being $17,000,000 shall be paid within three Banking Days of receipt by the Purchaser of a telefax notice from the Builder attaching a Stage Certificate in the form of the draft attached as Appendix V, countersigned by an Authorised Representative (or, in default thereof, the Classification Surveyor), certifying that launch [float out] laying has taken place. FIFTH INSTALMENT: Twenty percent (20% of the Construction Price, together with any increase or any decrease of the Construction Price arising from the Provisions of Clauses 7 and 16 below, shall be paid upon Delivery." 2.2 A new provision is inserted as Clause 4.1A of the Main Contract as follows: "
