Maintenance and Conduct of Business. Debtor will (i) keep, maintain and preserve all property (tangible and intangible) material to the conduct of its business in good working order and condition, ordinary wear and tear excepted, (ii) do or cause to be done all things necessary to preserve, renew and keep in full force and effect its legal existence and the rights, licenses, permits, privileges, agreements and franchises material to the conduct of its business, and (iii) engage in an efficient and economical manner in a business of the same general type and within Debtor’s powers under Constituent Documents.
Maintenance and Conduct of Business. (a) The Company shall (1) maintain its corporate existence in compliance with all applicable laws and regulations, (2) conduct its business efficiently, in accordance with sound engineering, financial and business practices, in a good workmanlike manner, with due regard for the environment and in compliance with all applicable statutes, laws, regulations, rules, orders and decrees of the Russian Federation and any other applicable jurisdiction, (3) keep and maintain all of its assets required for the Project in good repair, working order and condition, and (4) ensure that the Project is constructed, maintained and operated in accordance with good international practices in the gold mining industry. Without limiting the foregoing, the Company shall comply with the Environmental Standards and its obligations under the Reclamation Agreement.
Maintenance and Conduct of Business. Debtor will: (i) keep, maintain and preserve all property and assets material to the conduct of its business; and (ii) do or cause to be done all things necessary to preserve, renew and keep in full force and effect its legal existence and the rights, licenses, permits, privileges, agreements and franchises material to the conduct of its business. Debtor will cause each Sale Agreement relating to a Seller to remain in full force and effect and cause each Seller or other Person to perform all of its obligations thereunder with respect to the Consumer Loans.
Maintenance and Conduct of Business. Each Debtor will (i) keep, maintain and preserve all Property (tangible and intangible) material to the conduct of its business in good working order and condition, ordinary wear and tear excepted, and (ii) do or cause to be done all things necessary to preserve, renew and keep in full force and effect (A) its legal existence and (B) the rights, licenses, permits, privileges, agreements and franchises material to the conduct of its business except where any failure to do any of the foregoing could not reasonably be expected to result in a Material Adverse Effect.
Maintenance and Conduct of Business. (a) During the period from the date hereof through the Closing Date, each of the Sellers covenants that it shall continue, and cause the officers of each of the Companies to continue to manage the affairs of each of the Companies and the Business with the same degree of care as heretofore exercised, and, each of the Sellers further covenants to continue to manage the Business with the same degree of care as heretofore exercised. If any of the Sellers becomes aware of a material deterioration in the Business or any of the Companies or in a relationship with any customer, supplier, licensee or officer, employee or agent with respect to the Business, operations and facilities, it will promptly bring such information to the attention of the Purchaser and will use its best efforts in cooperation with the Purchase to restore such relationship except as otherwise mutually agreed.
Maintenance and Conduct of Business. From the date of this Agreement to the Closing Date, the Seller will cause the Business to be conducted consistent with the ordinary and normal course of the Business existing prior to the date of this Agreement and will use its reasonable efforts to retain the services of present officers, employees and agents of the Business existing prior to the date of this Agreement and will use its reasonable efforts to retain the services of present officers, employees and agents of the Business and preserve business relationships of the Business with customers, suppliers and others.
Maintenance and Conduct of Business. (a) Each of the Company, the Subsidiary and the New Subsidiary shall (and shall cause each PRC Entity to), from and after the date hereof, to (i) preserve and maintain in full force and effect its existence and good standing under the laws of its jurisdiction of formation or organization, (ii) preserve and maintain in full force and effect all rights, privileges, qualifications, applications, licenses, permits and franchises, (iii) comply in all material respects with all applicable laws, ordinances, rules and regulations, as well as judicial interpretations and decisions and with the directions of any governmental authority or regulatory body having jurisdiction over it or its respective businesses or properties, and (iv) file or cause to be filed in a timely manner all reports, applications, estimates and licenses that shall be required by a governmental authority or regulatory body, in the case of each of (i), (ii), (iii) and (iv), where the failure to so preserve, maintain, comply or file would have a Material Adverse Effect.

Debtor will (i) keep, maintain and preserve all property (tangible and intangible) material to the conduct of its business in good working order and condition, ordinary wear and tear excepted, (ii) do or cause to be done all things necessary to preserve, renew and keep in full force and effect its legal existence and the rights, licenses, permits, privileges, agreements and franchises material to the conduct of its business, and (iii) engage in an efficient and LOAN AND SECURITY AGREEMENT – PAGE THERMO CREDIT, LLC – FLINT TELECOM GROUP, INC. economical manner in a business of the same general type and within Debtor's powers under Constituent Documents.
Maintenance and Conduct of Business. From the date of this Agreement to each Transfer Date, the Seller will cause the Business to be conducted consistent with the ordinary and normal course of the Business existing prior to the date of this Agreement and will use its best commercial efforts to preserve business relationships of the Business with customers, suppliers and others having regular business dealings with it.
