Maintenance and Conduct of Business. Debtor will (i) keep, maintain and preserve all property (tangible and intangible) material to the conduct of its business in good working order and condition, ordinary wear and tear excepted, (ii) do or cause to be done all things necessary to preserve, renew and keep in full force and effect its legal existence and the rights, licenses, permits, privileges, agreements and franchises material to the conduct of its business, and (iii) engage in an efficient and economical manner in a business of the same general type and within Debtor’s powers under Constituent Documents.

Maintenance and Conduct of Business. (a) The Company shall (1) maintain its corporate existence in compliance with all applicable laws and regulations, (2) conduct its business efficiently, in accordance with sound engineering, financial and business practices, in a good workmanlike manner, with due regard for the environment and in compliance with all applicable statutes, laws, regulations, rules, orders and decrees of the Russian Federation and any other applicable jurisdiction, (3) keep and maintain all of its assets required for the Project in good repair, working order and condition, and (4) ensure that the Project is constructed, maintained and operated in accordance with good international practices in the gold mining industry. Without limiting the foregoing, the Company shall comply with the Environmental Standards and its obligations under the Reclamation Agreement.

If any of the Sellers becomes aware of a material deterioration in the Business or any of the Companies or in a relationship with any customer, supplier, licensee or officer, employee or agent with respect to the Business, operations and facilities, it will promptly bring such information to the attention of the Purchaser and will use its best efforts in cooperation with the Purchase to restore such relationship except as otherwise mutually agreed.
