Common use of Maintenance, Audit and Examination of Records Clause in Contracts

Maintenance, Audit and Examination of Records. Pursuant to Section 10 of the Standard Clauses for NYS Contracts (attached hereto as Appendix A), the Contractor and its Subcontractors must maintain their respective books and records for examination and audit as specifically detailed therein. In the event of non-compliance thereof, the Trust shall not pay the Contractor any portion of the fee then due or becoming due, as the case may be, with respect to such non-compliance, and if such fee has already been paid, the Trust may require the Contractor to refund such fee. In addition, the Contractor shall be responsible for any audit costs incurred by the Trust as a result of such non- compliance.
