Maintenance Recommendations. Commencing August 1, 2011 and on each August 1 thereafter during the Buyer Monthly Payment Period, Seller shall recommend to Buyer various alternatives for reducing the cost for completion of construction of the System when construction by Buyer of the Echelon Place project resumes. The recommendations shall take into account improved technology and programs for retaining or improving the value of those portions of the System which can be used when construction of the System resumes. Subject to the prior written consent of Seller's Lenders, Seller and Buyer may mutually agree that Seller may sell or otherwise dispose of portions of the System consistent with this Section 3.10. Such sale or disposition, if any, shall be conducted in a commercially reasonable manner.
