Maintenance Renewal. For so long as Micro Focus continues to offer Maintenance for the Maintained Software, Licensee may, subject to Micro Focus’ acceptance, renew Maintenance by delivering a purchase order or executing the quote for the applicable Maintenance fees on or about each Renewal Date, or by allowing this Agreement to automatically renew pursuant to section 4. If Licensee renews M a i n t e n a n c e or if Licensee permits this Agreement to automatically renew, Licensee must purchase Maintenance for all licenses of the Maintained Software that it has copied, used, or otherwise exploited. Micro Focus may increase Maintenance fees by up to 10% over the previous year’s fees. If the r e n e w a l i n s t r u c t i o n o r payment of the Maintenance fee for a Renewal Period is not received by the due date, or if Licensee does not renew Maintenance for all copies of the Maintained Software or Licensee reduces the number of copies of the Maintained Software, then Micro Focus may immediately and without notice suspend provision of Maintenance and Licensee will no longer be eligible for the 10% limitation on price increases for the current and subsequent years set forth above. Licensee may then reinstate Maintenance in accordance with the Reinstatement clause below.

The Sub Agent undertakes to inform the Underwriting Agent of any changes during the duration of the policy (including renewal), which would affect the Underwriting Agent’s attitude to covers or levels of premiums or which the Underwriting Agent should be made aware. The Sub Agent must liaise with the Underwriting Agent prior to each renewal to enable the Underwriting Agent to provide notification of renewal terms or non-renewal in good time to allow the Sub Agent to meet its regulatory obligations to customers in this respect.

10.2 If Licensee elects not to renew the Support Services or allows the Support Services to lapse and the Micro Focus software products have been off Support Services for less than one (1) year, Licensee can reinstate Support Services for such Micro Focus software products by paying for a new Support Services term of not less than twelve (12) months, plus the following charges:
10.2.1 if the Maintained Software is the most then current version of such software product, by paying to Micro Focus the applicable Maintenance Fees backdated to such date when the previous Support Services term had expired or terminated and a 20% reinstatement fee (calculated at 20% of the applicable annual Maintenance Fee), or
10.2.2 if the Maintained Software is not the most then current version of such software product, an upgrade fee equal to 40% of the then current license fee list price of the most then current version of such software product.
10.3 If the Micro Focus software product has been off Support Services for longer than one (1) year, Licensee will be required to purchase the...

Maintenance Renewal. Company shall be responsible for generating quotes, receiving purchase orders, invoking and collecting all Maintenance Renewals from End User customers.
Maintenance Renewal. A Software Maintenance renewal reminder will be sent electronically to Licensee thirty (30) days prior to Maintenance expiration. The Renewal reminder will include instructions on how to renew maintenance on-line. This Software Maintenance Plan will be considered renewed once a purchase order has been issued or payment is received. Maintenance will be terminated if a purchase order or a payment is not received on or before the expiration date. If Maintenance has been expired for 90 or more days, Licensee may reinstate maintenance by purchasing an Upgrade.
Maintenance Renewal. Maintenance and support services under this Agreement for Software licensed under any Software Attachments are provided for a fixed term of twelve (12) months and automatically renew on an annual basis unless terminated by either party on not less than three (3) months’ notice in writing given at any time prior to the relevant renewal date. If the agreement for the provision of maintenance and support services terminates or otherwise expires and the Customer subsequently wishes to renew maintenance and support services, Customer shall pay the support fees that would have been due for the period during which maintenance and support services were not provided plus a reinstatement fee in accordance with Supplier’s then current reinstatement policy.
Maintenance Renewal. If an End-User requests maintenance and support with an interruption later than after the first year since the installation date, maintenance and support fees for the time of interruption must be paid also.
