The General Partners agree, when authorized pursuant to Section 10.01, or otherwise, to make, file or record with the appropriate public authority and (if required) publish the Certificate, any amendments thereof, and such other certificates, instruments and documents as may be required or appropriate in connection with the business and affairs of the Partnership.
