Certificates and Other Documents. WGT and Purchaser, and Seller and Xxxxxxx, shall deliver the certificates and other items provided for in Articles 7 and 8 of this Agreement.
Certificates and Other Documents. Purchaser and Manugistics shall have received a certificate of the President and the Secretary of Seller and IRI on the date of First Closing and Second Closing certifying to the fulfillment of the foregoing conditions substantially in the form of Exhibits A and B attached hereto.

Certificates and Other Documents. Each of the preceding conditions may be waived only if such waiver is set forth in a writing executed by Buyer. None of the conditions in this Article V constitute covenants by Seller, provided that this sentence shall not limit or otherwise affect Seller's obligations set forth in other Articles of this Agreement.
