Managed Service Providers. In the event Customer is a managed service provider using the Products as part of its offerings to Customer’s own end users (“MSP End Users”), the following terms apply notwithstanding anything to the contrary in this Agreement:
(a) Customer may use the Products as part of its managed services offerings for its MSP End Users, provided that Customer will ensure that the MSP End Users comply with the terms of this Agreement and all applicable Addenda in their use of Customer’s managed services offering; (b) the license granted under Section 3.1 only applies to Customer, not the MSP End Users, and MSP End Users cannot be Authorized Users; (c) Absolute has and will have no liability to the MSP End Users in connection with the Products, and Customer will disclaim all such liability on behalf of Absolute in its end user agreements; and (d) Customer agrees to defend Absolute from and against any claims from an MSP End User arising out of or relating to Customer’s provision of services to such MSP End User, and agrees to indemnify and hold harmless Absolute from and pay all related damages, costs and expenses.
Managed Service Providers. Under the rights granted to You in Section B above, and subject to the restrictions set forth in this Agreement, Customer may permit its third party contractors, agents and managed service providers (“MSPs”) to access the Twitter Content, in whole or in part, solely on behalf of Customer and solely through the Client Application approved under this Agreement to assist Customer and exercise the rights of Customer solely on Customer’s behalf; provided that (a) such access and use by each MSP is strictly in compliance with the terms and conditions of this Agreement, and (b) Customer at all times remains in control of and retains management over the Licensed Material (“control”, for purposes of this clause, shall mean the sole ability to direct the use of the Licensed Material );. Customer shall be fully responsible for its MSPs’ compliance with this Agreement, and any Customer is fully liable for any and all breaches of this Agreement by an MSP. For clarity, a MSP may include Your customer service management provider, as long as You retain control of the Twitter Content at all times.
