Management by Managers. (a) Except as otherwise provided in this Agreement or by mandatory provisions of the Act, the powers of the Company shall be exercised by or under the authority of, and the business and affairs of the Company shall be managed under the direction of, all of the Managers, and all of the Managers may make all decisions and take all actions for and on behalf of the Company not otherwise provided for in this Agreement, including, without limitation, the following: (i) entering into, making and performing contracts, agreements and other undertakings binding upon the Company that may be necessary, appropriate or advisable in furtherance of the purposes of the Company and making all decisions and waivers thereunder; (ii) opening and maintaining bank and investment accounts and arrangements, drawing checks and other orders for the payment of money, and designating individuals with authority to sign or give instructions with respect to those accounts and arrangements; (iii) investing Company funds; (iv) maintaining the assets of the Company in good order; (v) collecting sums due the Company; (vi) to the extent that funds of the Company are available therefor, paying debts and obligations of the Company; (vii) selecting, removing and changing the authority and responsibility of lawyers, accountants, and other advisers and consultants; (viii) obtaining insurance for the Company; (ix) determining distributions of the Company in cash and other property as provided in Section 4; and (x) doing and performing any and all other acts as may be necessary or appropriate to the conduct of the Company’s business; provided, however, that all such decisions and actions for and on behalf of the Company must be approved by Managers holding a Majority in Interest. Any decisions or actions for an on behalf the Company that were effected without such approval shall be deemed null and void. Any Manager holding a Majority in Interest may, acting along without approval of the other Managers, enter into contracts, agreements and other undertakings and bind the Company thereto. (b) The number of Managers of the Company shall be not less than one (1). The initial Managers of the Company shall be each of the Initial Members, who shall hold office until they cease to own an interest in the Company or a successor has been elected or otherwise designated in accordance with the Act or this Agreement or until his earlier resignation or removal. Subject to applicable Gaming Laws, in the event that any Member shall be unwilling or unable to serve as a Manager, he shall be succeeded by such Person or Persons as shall be elected as a Manager by a Majority in Interest, provided such Person is also a Member of the Company. A Manager may be removed by a Majority in Interest only in the event that the Manager is no longer a Member or a Withdrawal Event has occurred with respect to such Person. (c) Any person dealing with the Company, other than a Member, may rely on the authority of the Managers without inquiry into the provisions of this Agreement or compliance herewith, regardless of whether that action is actually taken in accordance with the provisions of this Agreement. Unless authorized to do so by this Agreement or by the Managers of the Company, no Member, agent or employee of the Company shall have any power or authority to bind the Company in any way.

Management by Managers. (ii) opening and maintaining bank and investment accounts and arrangements, drawing checks and other orders for the payment of money, and designating individuals with authority to sign or give instructions with respect to those accounts and arrangements;
(iii) investing Company funds;
(iv) maintaining the assets of the Company in good order;
(v) collecting sums due the Company;
(vi) to the extent that funds of the Company are available therefor, paying debts and obligations of the Company;
(vii) selecting, removing and changing the authority and responsibility of lawyers, accountants, and other advisers and consultants;
(viii) obtaining insurance for the Company;
(ix) determining distributions of the Company in cash and other property do all things on such terms as provided in Section 4; and
(x) doing and performing any and all other acts as they may be deem necessary or appropriate to conduct, or cause to be conducted, the conduct of the Company’s business; provided, however, that all such decisions business and actions for and on behalf of the Company must be approved by Managers holding a Majority in Interest. (C) accomplishes any of the foregoing purposes;

(iii) investing Company funds;

(a) Except as otherwise provided for situations in which the approval of the Member is required by the Certificate, this Agreement Agreement, or by mandatory nonwaivable provisions of applicable law, and subject to the Actprovisions of Section 5.1(b), (1) the powers of the Company shall be exercised by or under the authority of, and the business and affairs of the Company shall be managed under the direction of, all of the Managers, ; and all of (2) the Managers may make all decisions and take all actions for and on behalf of the Company not otherwise provided for in this Agreement, including, without limitation, the following:
(i) entering into, making making, and performing contracts, agreements agreements, and other undertakings binding upon the Company that may be necessary, appropriate appropriate, or advisable in furtherance of the purposes of the Company and making all decisions and waivers thereunder;
(ii) opening and maintaining bank financial institution and investment accounts and arrangements, drawing checks and other orders for the payment of money, and designating individuals with authority to sign or give instructions with respect to those accounts and arrangements;
(iii) investing Company fundsmaintaining or causing to be maintained the assets of the Company;
(iv) maintaining the assets of the Company in good order;
(v) collecting sums due the Company;
(viv) to the extent that funds of the Company are available therefor, paying debts and obligations of the Company; asset of the Company;
(vi) acquiring, utilizing for Company purposes, and disposing of any (vii) borrowing money or otherwise comm1ttmg the credit of the Company for Company activities and voluntary prepayments or extensions of debt;
(viii) selecting, removing removing, and changing the authority and responsibility of lawyers, accountants, and other advisers and consultants;
(viiiix) obtaining insurance for the Company;
(ixx) determining distributions instituting, prosecuting, defending and settling any legal, arbitration or administrative actions or proceedings on behalf of or against the Company in cash and other property as provided in Section 4Company; and
(xxi) doing obtaining and performing any maintaining alcoholic beverage and all other acts as may be necessary or appropriate to the conduct of related permits; and
(xii) establishing a seal for the Company’s business; provided, however, that all such decisions and actions for and on behalf of the Company must be approved by Managers holding a Majority in Interest. Any decisions or actions for an on behalf the Company that were effected without such approval shall be deemed null and void. Any Manager holding a Majority in Interest may, acting along without approval of the other Managers, enter into contracts, agreements and other undertakings and bind the Company thereto.
(b) The number of Managers of the Company shall be not less than one (1). The initial Managers of the Company shall be each of the Initial Members, who shall hold office until they cease to own an interest in the Company or a successor has been elected or otherwise designated in accordance with the Act or this Agreement or until his earlier resignation or removal. Subject to applicable Gaming Laws, in the event that any Member shall be unwilling or unable to serve as a Manager, he shall be succeeded by such Person or Persons as shall be elected as a Manager by a Majority in Interest, provided such Person is also a Member of the Company. A Manager may be removed by a Majority in Interest only in the event that the Manager is no longer a Member or a Withdrawal Event has occurred with respect to such Person.
(c) Any person dealing with the Company, other than a Member, may rely on the authority of the Managers without inquiry into the provisions of this Agreement or compliance herewith, regardless of whether that action is actually taken in accordance with the provisions of this Agreement. Unless authorized to do so by this Agreement or by the Managers of the Company, no Member, agent or employee of the Company shall have any power or authority to bind the Company in any way.

(viii) selecting, removing removing, and changing the authority and responsibility of lawyers, accountants, and other advisers advisors and consultants;
(viiiix) obtaining insurance for the Company;
(ixx) determining distributions of the Company in cash Excess Cash Flow and other property as provided in Section 46.7; and
(xxi) doing and performing any and all other acts as may be necessary or appropriate to the conduct of establishing a seal for the Company’s business; provided, however, that all such decisions and actions for and on behalf of the Company must be approved by Managers holding a Majority in Interest. Any decisions or actions for an on behalf the Company that were effected without such approval shall be deemed null and void. Any Manager holding a Majority in Interest may, acting along without approval of the other Managers, enter into contracts, agreements and other undertakings and bind the Company thereto.
(b) The number Notwithstanding the provisions of Section 7.1(a), the Managers may not cause the Company to do any of the following without the approval of Members holding a Required Interest:
(i) sell, lease, exchange or otherwise dispose of (other than by way of a pledge, mortgage, deed of trust or trust indenture) all or substantially all of the Company's property and assets, other than in the usual and regular course of the Company's business;
(ii) be a party to (1) a merger, or (2) an exchange or acquisition; or
(iii) amend or restate the Articles of Organization of the Company shall be not less than one (1). The initial Managers of the Company shall be each of the Initial Members, who shall hold office until they cease to own an interest in the Company or a successor has been elected or otherwise designated in accordance with the Act or this Agreement or until his earlier resignation or removal. Subject to applicable Gaming Laws, (except as specifically provided for in the event that any Member shall be unwilling or unable to serve as a Manager, he shall be succeeded by such Person or Persons as shall be elected as a Manager by a Majority in Interest, provided such Person is also a Member of the Company. Management by Managers. (a) Except as otherwise provided for situations in which the approval of the Members is required by this Agreement or by mandatory nonwaivable provisions of the Act, and subject to the provisions of subsection (b) below, the powers of the Company shall be exercised by or under the authority of, and the business and affairs of the Company shall be managed under the direction of, all of the ManagersManagers acting by and through a Management Committee (as defined below). The Management Committee shall manage, control, administer and operate, and all of the Managers may make all decisions relating to, the business and take all actions for and on behalf affairs of the Company and exercise all power conferred upon the Company in the Act, except such as are by law, by the Articles or by this Agreement conferred upon or reserved to the Members. (b) Notwithstanding any other provision of this Agreement to the contrary, the followingfollowing actions may be undertaken only upon the affirmative vote of all the Managers:

(viiiix) obtaining insurance for the Company;
(ixx) determining distributions of the Company in cash and other property as provided in Section 45.02;
(xi) establishing a seal for the Company;
(xii) selling, leasing, exchanging or otherwise disposing of (including by way of a pledge, mortgage, deed of trust or trust indenture) all or any portion of the Company's property and assets (with or without good will); and
(xxiii) doing and performing being a party to a merger of the type described in Section 14-11-903 of the Act.
(b) Notwithstanding the provisions of Xxxxxxx 0.01(a), the Managers may not cause the Company to do any and of the following without complying with the applicable requirements set forth below:
(i) Dissolve the Company under paragraph (3) of Code Section 14-11-602, except upon the written consent of all Members;
(xx) Enter into an agreement of merger of the Company of the type described in subsection (a) of Code Section 14-11-903, except upon the written consent of a Required Intexxxx;
(iii) Authorize the sale, exchange, lease or other acts as may be necessary transfer of all or appropriate to substantially all of the conduct assets of the Company’s business, except upon the written consent of a Required Interest. For the purposes of this paragraph, assets shall be deemed to be less than all or substantially all of the Company's assets if the value of the assets does not exceed two-thirds of the value of all of the assets of the Company and the revenues represented or produced by such assets do not exceed two-thirds of the total revenues of the Company; provided, however, that this paragraph shall not create any inference that the sale, exchange, lease or other transfer of assets exceeding the amounts described in this paragraph is the sale of all such decisions and actions for and on behalf or substantially all of the Company must be approved by Managers holding a Majority in Interest. Any decisions or actions for an on behalf the Company that were effected without such approval shall be deemed null and void. Any Manager holding a Majority in Interest may, acting along without approval assets of the other Managers, enter into contracts, agreements and other undertakings and bind the Company thereto.Company;
