MANAGEMENT OF INTERESTS. NUVOLA covenants and agrees that following the Distribution Date it shall take an active management role in its NUVOLA Operating Assets and any other operating company in which it acquires a joint venture or equity interest, consistent with its own business needs and applicable laws, contractual arrangements and other requirements of NUVOLA.
