STEI CONSIDERATION. In consideration of the transfer of the SQRI Assets by STEI to SQRI, and STEI's other obligations pursuant hereto and pursuant to the Ancillary Agreements, in addition to the other consideration described herein (including, without limitation, SQRI's obligations pursuant hereto and pursuant to the Ancillary Agreements), SQRI shall issue, grant or transfer to STEI, as appropriate, prior to the Distribution Date, (i) shares of SQRI Common Stock necessary to effect the Distribution.
