Common use of Manager Officers’ Certificate Clause in Contracts

Manager Officers’ Certificate. On or prior to the date that the Securities are first sold pursuant to the terms of this Agreement and within two (2) Trading Days after each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit G-2 for which no waiver is applicable, the Manager shall provide the Placement Agents with a certificate, dated the date of the Placement Notice, of the Chief Executive Officer and Senior Vice President of the Manager in which such officers shall state that: the representations and warranties of the Manager in this Agreement are true and correct; and the Manager has complied with all agreements and satisfied all conditions on its part to be performed or satisfied hereunder at or prior to the date of the Placement Notice.
