Managing Member Dissolution Actions. No Managing Member shall take any action to dissolve, terminate, or liquidate the PDA (other than in connection with an agreement pursuant to‌ Section 10.2(a)(i) or an election pursuant to Section 10.2(a)(ii)) or to require re-valuation, apportionment, appraisal or partition of the PDA or any of its assets, or to file a bill for an accounting, except as specifically provided in this Charter, and each Managing Member, to the fullest extent permitted by applicable law, hereby waives any rights to take any such actions under applicable law, including any right to petition a court for judicial dissolution.
