Common use of Mandatory public statements Clause in Contracts

Mandatory public statements. None of the preceding provisions of this Clause 18 shall prohibit any party from making any public statement or disclosing information which would otherwise be required to be kept confidential if and to the extent so required: 18.3.1 by law, or by any court of competent jurisdiction, or by a government agency; or 18.3.2 under the Exchange Act or the SFO or by the Listing Rules, the Code or the rules or regulations (whether or not having the force of law) of the Stock Exchange, the NYSE and/or any other stock exchange on which its, or any of its associates’ or affiliates’ shares or debt securities are quoted or by any relevant securities regulatory authority or body, provided that any party required or proposing to make any such disclosure shall, to the maximum extent reasonably practicable, consult with the other parties (other than the Company), as the case may be, with a view to such disclosure, so far as possible, being limited to matters, and otherwise made in a form, acceptable to them.
