Common use of MANNER OF ASSUMPTION Clause in Contracts

MANNER OF ASSUMPTION. SCC's assumption of the Assumed Obligations shall be evidenced by one or more Assignment and Assumption Agreements substantially in the form of Exhibit "D" ("ASSUMPTION AGREEMENTS"). It is not the intention of either SCC or Seller that the assumption by SCC of the Assumed Obligations pursuant to the Assumption Agreements shall in any way enlarge the rights of third parties under, or with respect to, the agreements or instruments to which such Assumed Obligations relate. Nothing contained herein shall prevent or otherwise limit Buyer from contesting in good faith any of the Assumed Obligations with the obligee.
