Common use of Manner of enforcement Clause in Contracts

Manner of enforcement. If the Transaction Security is being enforced pursuant to Clause 10.2 (Enforcement Instructions), the Security Agent shall enforce the Transaction Security in such manner (including, without limitation, the selection of any administrator, receiver, receiver manager (or any analogous officer in any jurisdiction) of any Debtor or the Parent to be appointed by the Security Agent) as the Majority External Creditors shall instruct or, in the absence of any such instructions, as the Security Agent considers in its discretion to be appropriate.

Manner of enforcement. If the Transaction Security is being enforced or other action as to Enforcement is being taken pursuant to Clause 10.2 13.3 (Enforcement Instructions), the Security Agent Trustee shall enforce the Transaction Security or take other action as to Enforcement in such manner (including, without limitation, the selection of any administrator, receiver, receiver manager (or any analogous officer in any jurisdiction) administrator of any Debtor or the Parent to be appointed by the Security AgentTrustee) as the Majority External Creditors Instructing Group shall instruct orinstruct, in the absence of provided any such instructions, as instructions are consistent with the Security Agent considers in its discretion to be appropriateEnforcement Principles.

If the Transaction Security is being enforced pursuant to Clause 10.2 10.1 (Enforcement Instructions), the Security Agent shall shall, subject to the terms of this Agreement, enforce the Transaction Security in such manner (including, without limitation, the selection of any administrator, receiver, administrator or receiver manager (or any analogous officer in any jurisdiction) of the Parent or any Debtor or the Parent to be appointed by the Security Agent) as the Majority External Creditors Instructing Group shall instruct or, in the absence of any such instructions, as the Security Agent considers in its discretion to be appropriateinstruct.

If the Transaction Security is being enforced pursuant to Clause 10.2 27.1 (Enforcement Instructions), the Security Agent shall enforce the Transaction Security in such manner (including, without limitation, the selection of any administrator, receiver, receiver manager administrator (or any analogous officer in any jurisdiction) of any Debtor or the Parent Obligor to be appointed by the Security Agent) as the Majority External Creditors Lenders shall instruct or, in the absence of any such instructions, as the Security Agent considers in its discretion to be appropriateinstruct.

If the Transaction Security is being enforced in accordance with the terms of the Security Documents pursuant to Clause 10.2 8.2 (Enforcement Instructions), the Security Agent shall enforce the Transaction Security in such manner (including, without limitation, the selection of any administrator, receiver, receiver manager (or any analogous officer in any jurisdiction) administrator of any Debtor or the Parent Obligor to be appointed by the Security Agent) as the Majority External Creditors Instructing Group shall instruct or, in the absence of any such instructions, as the Security Agent considers in its discretion to be appropriatesees fit.

For the avoidance of doubt, in its discretion the absence of instructions from the relevant Instructing Group, the Security Agent will not be required to be appropriatetake any action.
