Common use of Manner of Sales Clause in Contracts

Manner of Sales. Any sale of Registrable Securities pursuant to a Shelf Registration under this Section 3.2.2 may only be made in accordance with the method or methods of distribution of such Registrable Securities that are described in the registration statement for the Shelf Registration, based on information provided by the Selling Holders under Section 3.2.7 and permitted by such form of registration statement. Any sale of Registrable Securities pursuant to a Shelf Registration under this Section 3.2.2 must be made in compliance with applicable prospectus delivery requirements.

Manner of Sales. Any sale of Registrable --------------- Securities pursuant to a Shelf Registration under registration effected pursuant to this Section 3.2.2 1.3 may only be made in accordance with the method or methods of distribution of such Registrable Securities that are described in the registration statement for the Shelf Registration, based on information provided by the Selling Holders under Section 3.2.7 registration and permitted by such form of registration statement. Any sale of Registrable Securities pursuant to a Shelf Registration under this Section 3.2.2 must be made in compliance with applicable prospectus delivery requirements.
