Master Service Agreement. (a) The Licensee shall submit to the Licensor for its record the form of service Agreement (the "Master Service Agreement") containing the terms and conditions for the provision of the Licensed Services uniformly to existing and prospective Subscribers and Customers. Any changes to the Master Services Agreement shall require the Licensor’s approval prior to implementation. (b) Within thirty (30) Working Days of receipt of the proposed change to the Master Service Agreement, the Licensor shall either; (i) approve such agreement, in the event the Licensor has determined that such Agreement adequately protects the interests of the Subscriber, or (ii) notify the Licensee that the Licensor disapproves of such agreement. (c) The Licensor shall not unreasonably withhold its approval of the Master Service Agreement. In the event that the Licensor disapproves of the Master Service Agreement, the notice of disapproval shall include the reasons for the decision and make specific recommendations for change. Within thirty (30) Working Days of receipt of the Licensor's notice of disapproval, the Licensee shall submit a revised Master Service Agreement incorporating the Licensor's specific recommendations.

Master Service Agreement. Assignor and Assignee acknowledge that Assignor shall have the right, pursuant to that certain Master Service Agreement dated as of March 31, 2003 between Assignor and Assignee (the “MSA”), as supplemented by the Amendment to the Master Service Agreement dated of even date herewith, to use and occupy the portion of the Premises referred to as Collocation Room #5 for the purpose of maintaining and operating its IP infrastructure, fiber termination panels and other equipment. Assignor and Assignee acknowledge that the Assignor’s right to use said Collocation Room #5 in connection with the foregoing is only pursuant to the MSA and is not a right under the Master Lease and shall be subject to all of the provisions of the MSA, as it may be amended from time to time. In the event that Assignee defaults on its obligations under this Agreement, Assignor shall have the option to terminate the MSA with respect to Collocation Room #5, in Assignor’s sole discretion.
