Material Non-Public Information Restriction. Notwithstanding anything in this Agreement to the contrary, during any period in which the Company is in possession of material non-public information, the Company and the Buyer agree that (i) no purchase of Purchase Shares will take place, (ii) the Company shall not request the purchase of any Purchase Shares, and (iii) the Buyer shall not be obligated to purchase any Purchase Shares.
