Common use of Materiality/Non-Waiver Clause in Contracts

Materiality/Non-Waiver. The Contractor’s failure to secure policies in complete conformity with this Article, or to give an insurance company timely notice of any sort required in this Contract, or to do anything else required by this Article shall constitute a material breach of this Contract. Such breach shall not be waived or otherwise excused by any action or inaction by the City at any time.
