Matters provided for or taken into account in the Locked Box Accounts. The Seller shall not be liable for any Claim to the extent that the fact, matter, event or circumstance giving rise to the Claim is Fairly Disclosed, provided or reserved for in the Locked Box Accounts or is provided for or otherwise taken into account in the Closing Statement or otherwise in the calculation of the Purchase Price.
