Matters Requiring Member Approval. In addition to any other approval required by applicable law, this Agreement, or any other written agreement of the Members, and notwithstanding the provisions of Section 3.1, the following matters shall require the approval of the Member: (a) the making of any capital contributions to the Company; (b) amendment of this Agreement; and (c) dissolution of the Company pursuant to Section 5.1(b).
