Common use of Maximum Royalty Adjustment Clause in Contracts

Maximum Royalty Adjustment. Notwithstanding anything to the contrary in this Agreement, unless subject to further reduction pursuant to Section 3.10(c)(ii), the royalty rate applicable to Net Sales of a Licensed Product sold by Xxxxxxx or its Affiliates or Sublicensees in any country of the Xxxxxxx Territory during the applicable Xxxxxxx Royalty Term shall not, in any event, be less than [*] of the maximum royalty rate applicable pursuant to Section 3.10(g)(iii) or Section 6.2(a), regardless of any subsequent adjustments thereof.
