Common use of MBFS USA Not to Resign as Servicer Clause in Contracts

MBFS USA Not to Resign as Servicer. MBFS USA will not resign as Servicer under this Agreement except upon determination that the performance of its duties under this Agreement is no longer permissible under Applicable Law. Prior to the effectiveness of such resignation, MBFS USA will deliver to the Depositor and the Trustees (i) notice of any such determination permitting the resignation of MBFS USA as Servicer and (ii) an Opinion of Counsel to such effect. Any such resignation will become effective in accordance with Section 7.02.

MBFS USA will not resign as Servicer under this Agreement except upon determination that the performance of its duties under this Agreement is no longer permissible under Applicable Lawlaw. Prior to the effectiveness of such resignation, MBFS USA will deliver to the Depositor and the Trustees (i) notice of any such determination permitting the resignation of MBFS USA as Servicer and (ii) an Opinion of Counsel to such effect. Any such resignation will become effective in accordance with Section 7.02.

Prior to the effectiveness of such resignation, MBFS USA will deliver to the Depositor Titling Trustee and the Trustees Covered Parties (i) notice of any such determination permitting the resignation of MBFS USA as Servicer and (ii) an Opinion of Counsel to such effect. Any such resignation will become effective in accordance with Section 7.028.04(c).
