Meaning of Deadlock. A Deadlock occurs when: (a) the same resolution is proposed at two consecutive Shareholders' meetings or Board meetings in relation to anything listed in the Schedule but does not receive the unanimous approval of the Founders and HBE or their Director representatives on the Board (as applicable); or (b) within a period of two months, two adjourned: (i) Board meetings are dissolved under clause 3.1(f); or (ii) Shareholders' meetings are dissolved under clause 4.2.

  • Notice of Change in Control The Company will, within five Business Days after any Responsible Officer has knowledge of the occurrence of any Change in Control, give written notice of such Change in Control to each holder of Notes.
