Meaning of Losses. For purposes of this Agreement, with respect to any Indemnified Environmental Matter, "Losses" will include reimbursement for reasonable out-of-pocket costs of remediating, correcting, or otherwise addressing in a reasonably cost-efficient manner the conditions giving rise to such Losses for which indemnification is due hereunder, but only to the extent necessary to bring such condition into compliance with the minimum applicable standards under Environmental Laws and, for the avoidance of doubt, "Losses" shall not include the costs of investigations, studies, sampling, analysis, removal and remediation unless such costs are required by any Environmental Law and by an order or directive of a Governmental Entity having jurisdiction over the matter.
