Common use of MEDICARE ACCESS TO BOOKS AND RECORDS Clause in Contracts

MEDICARE ACCESS TO BOOKS AND RECORDS. In the event, and only in the event, that Section 952 of P.L. 96-499 (42 U.S.C. Section 1395x(v)(1)) is applicable to this Agreement, parties agree as follows: (a) until the expiration of four (4) years after the furnishing of such services pursuant to this Agreement, parties shall make available, upon written request of the Secretary of the U.S. Department of Health and Human Services or upon request of the Comptroller General of the United States, or any of his/her duly authorized representatives, this Agreement, and books, documents and records of parties that are necessary to certify the nature of the duties of this Agreement; and (b) if parties perform their services hereunder through a subcontract with a related organization, with a value or cost of Ten Thousand Dollars ($10,000.00) or more over a twelve-month period, then any such subcontract shall contain a clause to the effect that until the expiration of four (4) years after the furnishing of such services pursuant to such subcontract, the related organization shall make available, upon written request of the Secretary of the U.S. Department of Health and Human Services or upon request of the Comptroller General of the United States, or any of his/her/its duly authorized representatives, the subcontract, and books, documents and records of such organization that are necessary to verify the nature and extent of the cost of services provided pursuant to such subcontract. NO REFERRALS The parties acknowledge that none of the benefits granted to either party hereunder are conditioned on any requirement that either party make referrals or be in a position to make or influence referrals to, or otherwise generate business for, the other party.

Until the expiration of four (4) years after the furnishing of such services pursuant to this Agreement, parties each party shall make available, upon written request of request, to the Secretary of the U.S. Federal Department of Health and Human Services or or, upon request of to the Comptroller General of the United States, or any of his/her its duly authorized representatives, this Agreement, and books, documents and records of parties each party that are necessary to certify the nature and extent of the cost of services provided pursuant to this Agreement; and b. If any party carries out any of the duties of this Agreement; and (b) if parties perform their services hereunder Agreement through a subcontract with a related organizationsubcontract, with a value or cost of Ten Thousand Dollars ($10,000.0010,000) or more over a twelve-twelve (12) month period, then any with a related organization, such subcontract shall contain a clause to the effect that until the expiration of four (4) years after the furnishing of such services pursuant to such subcontract, the related organization shall make available, upon written request of request, to the Secretary of the U.S. Federal Department of Health and Human Services or or, upon request of request, to the Comptroller General of the United States, or any of his/her/its duly authorized representatives, the subcontract, and books, documents and records of such organization that are necessary to verify the nature and extent of the cost of services provided pursuant to such subcontract. NO REFERRALS The parties acknowledge that none of the benefits granted to either ; c. Each party hereunder are conditioned on any requirement that either party make referrals or be in a position to make or influence referrals to, or otherwise generate business for, shall notify the other partyparties immediately of any request for access to books and records described above. In addition, each party shall indemnify, defend and hold the other party harmless from any liability arising out of any refusal by the refusing party or its subcontractors to grant access to books and records as required above.
