MedPartners has heretofore made available to PhyCor a true and complete copy of each report, schedule, registration statement and definitive proxy statement filed by it or its predecessors, MedPartners and MedPartners/Mullxxxx, Xxc., with the Securities and Exchange Commission ("SEC") (as any such documents have since the time of their original filing been amended, the "MedPartners Documents") since January 1, 1995, which are all the documents (other than preliminary material) that it was required to file with the SEC since such date. As of their respective dates, the MedPartners Documents did not contain any untrue statements of material facts or omit to state material facts required to be stated therein or necessary to make the statements therein, in light of the circumstances under which they were made, not misleading. As of their respective dates, the MedPartners Documents complied in all material respects with the applicable requirements of the Securities Act and the Exchange Act, and the rules and regulations promulgated under such statutes.
