Common use of Meeting Held by Electronic Means Clause in Contracts

Meeting Held by Electronic Means. If the Directors or the shareholders of the Corporation call a Meeting of Shareholders pursuant to the Act, those Directors or shareholders, as the case may be, may determine that the Meeting of Shareholders shall be held, in accordance with the Act, entirely by means of a telephonic, electronic or other communication facility that permits all participants to communicate adequately with each other during the Meeting of Shareholders.

Meeting Held by Electronic Means. If the Directors or the shareholders directors of the Corporation call a Meeting meeting of Shareholders shareholders pursuant to the Act, those Directors or shareholders, as the case may be, directors may determine that the Meeting of Shareholders meeting shall be held, in accordance with the Act, entirely by means of a telephonic, electronic or other communication facility that permits all participants to communicate adequately with each other during the Meeting meeting. A person participating in a meeting of Shareholdersshareholders held by such means is deemed to be present in person at the meeting and will have the opportunity to participate to the same extent as if the person were attending in person and in full purview of other shareholders.
