Common use of Meetings of the JSC Clause in Contracts

Meetings of the JSC. The JSC shall meet at least [***] ([***]) times annually during the Term or at such other frequency as mutually agreed by the Parties. The JSC shall meet on such dates and at such times as agreed to by Orexigen and Takeda, with all scheduled in-person meetings to alternate between an Orexigen site and a Takeda site as designated by the respective Party prior to such meeting, or at other locations as determined by the JSC. Meetings may be held by audio or video conference with the consent of each Party. Each Party shall be responsible for its own expenses for participating in each JSC. Meetings of the JSC shall be effective only if a majority of the representatives of each Party are present or participating.

Meetings of the JSC shall be held via internet, telephonically or by videoconference; provided that at least [***] ([***]) times annually during the Term or at such other frequency as mutually agreed by the Parties. The JSC meetings per year shall meet on such dates and at such times as agreed to by Orexigen and Takeda, with all scheduled in-person meetings to alternate between an Orexigen site and a Takeda site as designated by the respective Party prior to such meeting, or at other locations as determined by the JSC. Meetings may be held by audio or video conference with the consent of each Party. Each Party shall be responsible for its own expenses for participating in each JSCperson. Meetings of the JSC shall be effective only if a majority at least [***] ([***]) members of the representatives JSC, representing each Party, are in attendance or participating in the meeting. Each Party shall be responsible for the expenses incurred in connection with its employees, consultants and its members of each Party are present the JSC attending or participatingotherwise participating in JSC meetings.
