Member Activities Sample Clauses

Member Activities. Any of the Members, their Affiliates and any shareholder, officer, director, partner, employee or other Person holding a legal or beneficial interest in an entity which is a Member or an Affiliate thereof, may engage in or possess an interest in other business ventures of every nature and description, independently or with others, including but not limited to the ownership, development, construction, operation and management of residential and commercial property similar to the Project, whether or not in competition with the Project; and neither the Company nor the other Members will have any right, by virtue of this Agreement, to enter into or participate in such independent ventures or to share the income or profits derived therefrom or any other rights therein; and, each of the Members hereby waives whatever statutory or other rights to the contrary which he/she may now or hereafter possess.

Member Activities. The Service Site is responsible for supporting the member in implementing the activities that are part of the Community Forestry Initiative, as outlined below. i. Tree inventorying ii. Tree planting iii. Gravel bed nursery design/construction/management

Member Activities. Each Member understands that each other Member, or its Affiliates, may be interested, directly or indirectly, in various other businesses and undertakings not included in the Business of the Company but which may be directly competitive with the Business of the Company. Each Member also understands that the conduct of the Business of the Company may involve business dealings with such other businesses or undertakings. Each Member hereby agrees that the creation of the Company and the assumption by each of the Members of their duties under this Agreement shall be without prejudice to their rights (or the rights of their Affiliates) to have such other interests and activities and to receive and enjoy profits or compensation from them, and each Member waives any rights it might otherwise have to share or participate in such other interests or activities of the other Members or its Affiliates.

Member Activities. Members agree to use reasonable efforts to promote Company Facilities and to encourage the use thereof by the public in the local medical community in a manner consistent with applicable laws. Members acknowledge and agree that nothing contained in this Agreement or in any materials, plans, summaries or other tangible or intangible information prepared or communicated in connection herewith shall require any Member to refer Persons to any Company Facility for medical care or to induce other Persons to make or receive such referrals.

Member Activities. Monaco acknowledges and agrees that (i) Workhorse will re-sell the chassis it purchases from the Company to manufacturers of diesel motorhomes and low floor buses, including manufacturers which may compete with Monaco, and (ii) Monaco will use the chassis it purchases from the Company only in its internal production operations (and will not sell stripped chassis to any third party or resell chassis to up-fitters (other than Burlington Specialty Vehicles), truck equipment manufacturers or other OEMs (excluding Swagman Motorhomes), but may only resell the chassis (and the associated body) through its dealer network). Workhorse acknowledges and agrees that Monaco’s finished products may compete with finished products offered by manufacturers that purchase stripped chassis from Workhorse.

Member Activities. Members and Member Affiliates have other business interests and may engage in activities other than those related to the Company, including making or managing other investments (debt and equity). Each Member acknowledges that other Members and Affiliates of other Members have an interest in managing, investing, owning, operating, transferring, leasing and otherwise using real estate and interests therein for profit, and participating in any and all one of the related or incidental activities. and that each will make other investments in accordance with such interests and the requirements of any agreement to which they or their Affiliates are a party. Neither the Company nor any Member shall have any rights under this Agreement or the relationship created hereby in any other business or activity in which any Member or Affiliates of any Member is engaged or to any income or profits derived from such business or activity. . The pursuit of other businesses and activities by any Member or Affiliates of any Member, even if competitive with the Company's business, is hereby consented to by all other Members and shall not be deemed unlawful or improper under this Agreement or the Applicable law. No Member or Affiliate of a Member shall be required to present any particular investment opportunity to the Company, even if such opportunity is of a character that, if presented to the Company, could be pursued by the Company, and each Affiliate shall the right to take for one's own account, or recommend to others, any particular investment opportunity.

Member Activities. Partnership agrees to abide by the Position Descriptions for the approved Member services activities as outlined in the Attachment Appendix and located on the SC First Steps website. Members may not perform duties of staff members or supplant the hiring of staff. In addition, Partnership will monitor for the prohibited and unallowable activities as outlined in the Attachment Appendix and immediately report to SC First Steps any Members’ engagement in these activities so that corrective action may be taken.

Member Activities. The Holders and the Managers agree and understand that the Members, their Representatives and their respective Affiliates will be engaging in numerous other business activities. The Members (other than any employees of the Company, if a Member), their Representatives and their respective Affiliates may engage in, or own or acquire an interest in, any other business, investment or profession of any kind and description, whether or not in direct or indirect competition with the Company, and neither the Company nor any Holder shall have any rights by virtue of this Agreement in or to any of such businesses, professions or investments, or in or to any income or profit derived therefrom. Without limiting the foregoing, except as expressly provided for in this Agreement, no Member shall have any duty to the Company or to other Holders, including any fiduciary duties under applicable law, in connection with such activities or otherwise.
