Common use of Memorandum and Articles Clause in Contracts

Memorandum and Articles. The Sixth Amended and Restated Memorandum and Articles, in the forms attached hereto as Exhibit A (the “Restated Memorandum and Articles”), shall have been duly adopted by all necessary action of the Board of Directors and/or the members of the Company, and such adoption shall have become effective prior to the Closing with no alternation or amendment as of the Closing.

Memorandum and Articles. The Sixth Fifth Amended and Restated Memorandum and Articles, in the forms attached hereto as Exhibit A (the “Restated Memorandum and Articles”), shall have been duly adopted by all necessary action of the Board of Directors and/or the members of the Company, and such adoption shall have become effective prior to the Closing with no alternation or amendment as of the Closing.

The Sixth Fourth Amended and Restated Memorandum and Articles, in the forms attached hereto as Exhibit A B (the “Restated Memorandum and Articles”), shall have been duly adopted by all necessary action of the Board of Directors and/or the members of the Company, and such adoption shall have become effective prior to the Closing with no alternation or amendment as of the Closing.

The Sixth Amended fifth amended and Restated Memorandum restated memorandum and Articles, articles of associations in the forms form attached hereto as Part I of Exhibit A F (the “Restated Memorandum and Articles”), ) shall have been duly adopted by all necessary action of the Board board of Directors and/or directors and the members of the Company, and such adoption shall have become effective prior to the Closing with no alternation or amendment as of the ClosingClosing Date.
