City Code. No provision of this Agreement shall supercede or take precedent over any existing ordinances, regulations or codes of the City.
City Code. The Sacramento Municipal Code as adopted by the City Council, as said Code may be amended from time to time, and the provisions of the Sacramento City Charter as it may apply to the provisions of the Sacramento Municipal Code and this Agreement, as said Charter may be amended by a vote of the electorate from time to time.
City Code. The Code of Ordinances of the City of Ocala, Florida.
City Code. During the ten years prior to the date of this Agreement, the Company has not:
12.3.1. had at any time any equity share capital listed on the London Stock Exchange;
12.3.2. had any dealings and/or prices at which persons were willing to deal in its equity share capital published in a newspaper, electronic price quotation system or otherwise on a regular basis for a continuous period of at least six months;
12.3.3. had at any time any equity share capital subject to a marketing arrangement as described in section 163(2)(b) of the Companies Axx 0000; or
12.3.4. filed a prospectus with the Registrar of Companies for the issue of any equity share capital.
City Code. The Code of Ordinances of City of Ocala.
City Code. The Panel on Takeovers and Mergers shall have determined and confirmed to the Purchaser that the City Code on Takeovers and Mergers does not apply to any of the transactions contemplated by this Agreement or the Additional Share Transactions (or both).
City Code. “City Code” means the Code of the City of Richmond (2015), as that Code may be amended or recodified in the future.
City Code. 8.1 Nothing in this Agreement shall in any way limit the Parties’ obligations under the City Code, and any uncontested rulings of the Panel as to the application of the City Code in conflict with the terms of this Agreement shall take precedence over such terms.
8.2 Nothing in this Agreement shall oblige:
(a) Betfair to take (or not take) any action which the Panel determines would not be permitted by Rule 21.2 of the City Code; or
(b) Betfair or the directors of Betfair to recommend a Takeover Offer or Scheme of Arrangement proposed by Paddy Power.
City Code. All applicable city and fire codes apply.
