Merger of Merger Sub into EUSA. (a) Upon the terms and subject to the provisions set forth in this Agreement, at the Merger Effective Time, Merger Sub shall be merged with and into EUSA. By virtue of the Merger, at the Merger Effective Time, the separate existence of Merger Sub shall cease and EUSA shall continue as the surviving corporation in the Merger (the “Surviving Corporation”). From and after the Merger Effective Time, the Surviving Corporation shall possess all the rights, powers, privileges and franchises and be subject to all of the obligations, liabilities, restrictions and disabilities of EUSA and Merger Sub, all as provided under the DGCL. (b) The Merger shall have the effects set forth in this Agreement and in the applicable provisions of the DGCL. The certificate of incorporation of the Merger Sub in effect at the Merger Effective Time shall be the certificate of incorporation of the Surviving Corporation until amended in accordance with applicable Law; provided that, at the Merger Effective Time, Article First of such certificate of incorporation shall be amended to read as follows: “The name of the corporation is EUSA Pharma Inc.” The bylaws of the Surviving Corporation shall be amended and restated as of the Merger Effective Time to conform to the bylaws of Merger Sub as in effect immediately prior to the Merger Effective Time. The directors and officers of the Surviving Corporation immediately after the Merger Effective Time shall be the respective individuals who were directors and officers of Merger Sub immediately prior to the Merger Effective Time.

  • Merger of Merger Sub into the Company Upon the terms and subject to the conditions set forth in this Agreement, at the Effective Time (as defined in Section 1.3), Merger Sub shall be merged with and into the Company, and the separate existence of Merger Sub shall cease. The Company will continue as the surviving corporation in the Merger (the "Surviving Corporation").

  • Effective Time of Merger This Merger Agreement, or a Certificate of Ownership and Merger setting forth the information required by, and otherwise in compliance with, Section 253 of the General Corporation Law of the State of Delaware with respect to the Merger, shall be delivered for filing with the Secretary of State of the State of Delaware. This Merger Agreement, or Articles of Merger setting forth the information required by, and otherwise in compliance with, Article 5.16 of the Texas Business Corporation Act with respect to the Merger, shall be delivered for filing with the Secretary of State of the State of Texas. Notwithstanding the foregoing, by action of its Board of Directors, either of NewSub2 or AssetCo may terminate this Merger Agreement at any time prior to the filing of the Certificate of Ownership and Merger with respect to the Merger with Secretary of State of the State of Delaware and the Articles of Merger with respect to the Merger with Secretary of State of the State of Texas.
