Common use of Mexican Customs Duties Clause in Contracts

Mexican Customs Duties. Purchaser will cause Maquiladora at its own expense after the Closing to timely prepare and execute any and all customs documents required to reflect the change of ownership of the Assets in Mexico and to timely file a virtual exportation and virtual importation pediment to reconcile the open pediments of Maquiladora as required by Mexican law. Seller shall reasonably cooperate with Purchaser and/or Maquiladora in preparing the Mexican customs duties-related filings. Seller shall be responsible for any customs duties or fees relating to periods prior to the Closing. Purchaser and Maquiladora will be responsible for any customs duties or fees relating to periods from and after the Closing. Purchaser and Seller share equally customs duties or fees, if any, incurred in connection with the transactions contemplated by this Agreement.
