Minimum Annual Fee. The Borrower shall pay to the Bank a minimum annual fee of Ten Thousand Dollars and no cents ($10,000.00) (the "Minimum Annual Fee"). The Minimum Annual Fee shall be payable in advance, in the manner provided in Section 2.11 herein, on the Effective Date for the first year hereunder, and on each anniversary of the Effective Date for each subsequent year. The Minimum Annual Fee shall be pro-rated for any partial year.
Minimum Annual Fee. Company shall pay MS a minimum annual fee of $2,500,000 for year one, $2,000,000 for year two, and $1,500,000 for year three. The first two payments (total of $4,500,000) will be exchanged upon the execution of this Agreement for warrants to purchase 583,333 shares of the Company's common stock (at a per share exercise price of $13.50). The form of warrant will be identical (except for exercise price) to the form of warrant provided to MS in connection with its financing transaction occurring on or about the date of this Agreement. The third payment of $1,500,00 will be paid as follows: 50% on the first day of the third year, and 50% one hundred and twenty days following the first day of the third year.
Minimum Annual Fee. HRT O&G shall pay Air Amazonia the total minimum annual fees during the Term and each extended Year, if any, in BRL of the equivalent to USD $29,000,000, which shall be due and payable by HRT O&G, regardless of the number of Aircraft provided under this Agreement or the number of Flight Hours flown during the applicable Year (“Minimum Annual Fee”).

Minimum Annual Fee and Minimum Weekly Fee; The Minimum Annual Fee is the least amount of consideration on an annual basis Licensee is required to pay to UCDP for each applicable Operating Year for the use and privilege of operating its Business in the Attractions. The Minimum Weekly Fee is one-fifty-second (1/52nd) of the Minimum Annual Fee. The Minimum Weekly Fee will be calculated and paid on a weekly basis. The Minimum Annual Fee and the Minimum Weekly Fee are in addition to, not in lieu of, the annual or weekly Concession Fee and are due the applicable Concession Fee does not exceed the Minimum Annual Fee or Minimum Weekly Fee, as applicable. The Minimum Weekly Fee due for any partial week occurring during the Term will be equal to that sum derived by multiplying the Minimum Annual Fee by a fraction, the denominator of which is three hundred sixty-five (365) and the numerator of which is the number of days in the partial week. Minimum Annual Fee. The minimum annual fee for the first full year of operation during which all facilities under the agreement are in operation, as defined in Section 1.2. shall be equal to Twenty-one cents (.21(cent)) per enplaned passenger . For each year after the first full year of operation, as defined in Section 1.2, the minimum annual guarantee shall be the greater of the minimum established for the first full year of operations, as defined in Section 1.2, or eighty-five percent (85%) of the previous years actual rent payments (Percentage Fee).
Minimum Annual Fee.
