(b) on and after the Mykrolis Merger Date (upon giving effect to the Mykrolis Merger Transaction), the sum of (i) the higher of (x) $450,000,000 or (y) 85% of the actual Tangible Net Worth of the Borrower immediately after giving effect to the Mykrolis Merger Transaction plus (ii) minus fifty percent (iii)50%) of consolidated Net Income determined in accordance with GAAP (unless such amount is negative, “Minimum Tangible Net Worth”); provided that following the date that the Parent Entity obtains an Investment Grade Rating, the requirement pursuant to this Section 8.11(d) in which case it shall be a fixed number based on the Minimum Tangible Net Worth required as ignored for purposes of this Section) of the last day of the Borrower and its Subsidiaries, for each fiscal quarter of the Consolidated Group immediately following Borrower ended prior to the date time of determination, commencing with the Parent Entity obtained an Investment Grade Rating minus the aggregate amount of payments made with respect to any redemption, retirement, surrender, defeasance, repurchase, purchase or other similar transaction or acquisition for value, direct or indirect, on account of any Equity Interests of the Parent Entity after the last day of the first fiscal quarter of the Consolidated Group immediately following Borrower ending after the date Mykrolis Merger Date, plus (iii) one hundred percent (100%) of the Parent Entity obtained net cash proceeds received by the Investment Grade RatingBorrower and/or its Subsidiaries from any equity offering made by the Borrower and/or its Subsidiaries at any time on or after the Mykrolis Merger Date. For such purpose, ‘net cash proceeds’ shall mean Cash and Cash Equivalents received from any equity offering, whether at the time of such sale or issuance or subsequent thereto, net of all legal expenses, commissions and other fees and all costs and expenses directly related to such offering.”
