Miscellaneous Closing Deliveries. The Buyer shall have received each of the following:
(a) all documents, instruments and other closing deliveries specified herein; and (b) such evidence as the Buyer may reasonably request in order to establish (i) the corporate power and authority of the Company to consummate the transactions contemplated by this Agreement and (ii) compliance with the conditions of Closing set forth herein. 8.8
Miscellaneous Closing Deliveries. The Buyer shall have received each of the following:
(a) all documents, instruments and other closing deliveries specified in Sections 3.2(a) and Article 7; and
(b) such evidence as the Buyer may reasonably request in order to establish (i) the corporate power and authority of the Seller to consummate the transactions contemplated by this Agreement and (ii) compliance with the conditions of Closing set forth herein.
Miscellaneous Closing Deliveries. The Transferors shall have received such evidence as they may reasonably request in order to establish: (a) the power and authority of Purchaser to consummate the transactions contemplated by this Agreement; and (b) compliance with the conditions of Closing set forth herein. The Transferors shall have received such evidence as they may reasonably request in order to establish: (a) the power and authority of Purchaser to consummate the transactions contemplated by this Agreement; (b) compliance with the conditions of Closing set forth herein; and (c) satisfactory completion of all corporate proceedings to be taken in connection with the transactions contemplated by this Agreement together with certified copies of necessary resolutions duly adopted by the stockholders and directors of Purchaser approving the execution and delivery of this Agreement and all other corporate action necessary to enable Purchaser to comply with the terms of this Agreement.
Miscellaneous Closing Deliveries. The Transferors shall have received such evidence as they may reasonably request in order to establish: (a) the power and authority of UOL to consummate the transactions contemplated by this Agreement; (b) compliance with the conditions of Closing set forth herein; and (c) satisfactory completion of all corporate proceedings to be taken in connection with the transactions contemplated by this Agreement together with certified copies of necessary resolutions duly adopted by the stockholders and directors of UOL approving the execution and delivery of this Agreement and all other corporate action necessary to enable UOL to comply with the terms of this Agreement.
Miscellaneous Closing Deliveries. UCI, UCI of SC, and Doctor's Care shall have received each of the following:
(a) all documents, instruments and other closing deliveries specified in Section 4.3 above;
(b) such evidence as UCI, UCI of SC, and/or Doctor's Care may reasonably request in order to establish: (i) the power and authority of Springwood, SLOMC, Woodhill, and each Shareholder to consummate the transactions contemplated by this Agreement; (ii) compliance with the conditions of Closing set forth herein; and (iii) satisfactory completion of all corporate and stockholder proceedings to be taken in connection with the transactions contemplated by this Agreement, together with certified copies of resolutions duly adopted by the stockholders and directors of Springwood and SLOMC, respectively, approving the Merger and the execution and delivery of this Agreement and all other corporate action necessary to enable Springwood and the Shareholders to comply with the terms of this Agreement.
Miscellaneous Closing Deliveries. The Buyer shall have received all documents, instruments and other closing deliveries specified in Section 2.2(a) hereof.

(a) all documents, instruments and other closing deliveries specified in Section 3.2(b); Table Of Contents
(b) such evidence as Seller may reasonably request in order to establish the corporate power and corporate authority of Purchaser to consummate the transactions contemplated by this Agreement; and,
(c) an executed signature page to this Agreement from each Purchaser Releasor.
Miscellaneous Closing Deliveries. (a) Each of the items described as being delivered by CCC pursuant to Section 2.4(a) has been delivered.
(b) Each of the items described as being delivered by Uno pursuant to Section 2.4(b) has been delivered.
(c) Each of the items described as being delivered by VTR pursuant to Section 2.4(c) has been delivered.
