Mist Dashboard. During the Service Term, subject to Customer’s compliance with the terms and conditions of this Agreement, including the payment of any applicable subscription fees, as set forth on one or more Purchase Orders, Mist will provide Customer access to the Mist Dashboard. Customer must purchase a subscription to the Mist Dashboard for every Mist AP purchased by Customer.

Mist Dashboard. Subject to Customer’s compliance with the terms and conditions of this Agreement, including the payment of any applicable subscription fees, Mist will provide Customer access to the Mist Dashboard, (and any Mist Dashboard Additional Services and Mist Edge Service, if ordered by Customer) for the applicable Service Term purchased by Customer. Customer must purchase a subscription to a Mist Dashboard service (e.g., WiFi Assurance) for every Mist AP purchased by Customer, and to the Mist Edge Service for the Mist Edge Hardware purchased and Edge Software licensed by Customer
Mist Dashboard. Mist will host and retain physical control over the Mist Dashboard platform and Business Entities may access and use the Mist Dashboard only through the Internet at a secure website maintained by Mist. Mist will provide directly to Business Entities (or through Reseller) the initial username and password access credentials for access to the Mist Dashboard. No provision under this Agreement shall obligate Mist to deliver or otherwise make available any copies of computer programs or code from the Mist Dashboard to Reseller or Business Entities, whether in object code or source code form. Mist reserves the right to make changes to its policies, procedures, and practices and to make changes to its hosting and technical infrastructure, provided such changes do not materially degrade the level of service Mist is obligated to provide to Business Entities hereunder. Mist may host the Mist Dashboard using its own infrastructure or it may engage a third party to host the Mist Dashboard on its behalf. The services provided by any third party to host the infrastructure for the Mist Dashboard will not be considered as a subcontract by Mist of its obligations under this Agreement. Any third- party hosting provider will not have access to any Mist software nor to any data processed or stored on such infrastructure. Mist shall use industry standard and up-to-date security tools and technologies, including anti- virus protections and intrusion detection methods, in providing the Mist Dashboard to Business Entities. For Customers located in North America, the infrastructure for hosting the Mist Dashboard is located in the United States.
Mist Dashboard. Mist APs are only sold in combination with annual or multi-year subscriptions to the Mist Dashboard. Mist will provide directly to End Users (or through Juniper Partner) the initial username and password access credentials for access to the Mist Dashboard. No provision under this Addendum or the Reseller Agreement shall obligate Mist to deliver or otherwise make available any copies of computer programs or code from the Mist Dashboard to Juniper Partner or End Users, whether in object code or source code form.

  • Network Etiquette You are expected to abide by the generally accepted rules of network etiquette. These include but are not limited to the following:

  • Grievance Processing Union stewards or Union officials shall be permitted to have time off without loss of pay for the investigation and processing of grievances and arbitrations. Requests for such time off shall be made in advance and shall not be unreasonably denied. The Union will furnish the Employer with a list of Union stewards and their jurisdictions. The Union shall delineate the jurisdiction of Union stewards so that no xxxxxxx need travel between work locations or sub-divisions thereof while investigating grievances. Grievants shall be permitted to have time off without loss of pay for processing their grievances through the contractual grievance procedure, except that for class action grievances no more than three (3) grievants shall be granted such leave.

  • Contractor Sales Reporting Vendor Management Fee Contractor Reports Master Contract Sales Reporting. Contractor shall report total Master Contract sales quarterly to Enterprise Services, as set forth below. Master Contract Sales Reporting System. Contractor shall report quarterly Master Contract sales in Enterprise Services’ Master Contract Sales Reporting System. Enterprise Services will provide Contractor with a login password and a vendor number. The password and vendor number will be provided to the Sales Reporting Representative(s) listed on Contractor’s Bidder Profile. Data. Each sales report must identify every authorized Purchaser by name as it is known to Enterprise Services and its total combined sales amount invoiced during the reporting period (i.e., sales of an entire agency or political subdivision, not its individual subsections). The “Miscellaneous” option may be used only with prior approval by Enterprise Services. Upon request, Contractor shall provide contact information for all authorized purchasers specified herein during the term of the Master Contract. If there are no Master Contract sales during the reporting period, Contractor must report zero sales. Due dates for Master Contract Sales Reporting. Quarterly Master Contract Sales Reports must be submitted electronically by the following deadlines for all sales invoiced during the applicable calendar quarter: For Calendar Quarter Ending Master Contract Sales Report Due March 31: April 30 June 30: July 31 September 30: October 31 December 31: January 31 Vendor Management Fee. Contractor shall pay to Enterprise Services a vendor management fee (“VMF”) of 0.74 percent on the purchase price for all Master Contract sales (the purchase price is the total invoice price less applicable sales tax). The sum owed by Contractor to Enterprise Services as a result of the VMF is calculated as follows: Amount owed to Enterprise Services = Total Master Contract sales invoiced (not including sales tax) x .0074. The VMF must be rolled into Contractor’s current pricing. The VMF must not be shown as a separate line item on any invoice unless specifically requested and approved by Enterprise Services. Enterprise Services will invoice Contractor quarterly based on Master Contract sales reported by Contractor. Contractors are not to remit payment until they receive an invoice from Enterprise Services. Contractor’s VMF payment to Enterprise Services must reference this Master Contract number, work request number (if applicable), the year and quarter for which the VMF is being remitted, and the Contractor’s name as set forth in this Master Contract, if not already included on the face of the check. Failure to accurately report total net sales, to submit a timely usage report, or remit timely payment of the VMF, may be cause for Master Contract termination or the exercise of other remedies provided by law. Without limiting any other available remedies, the Parties agree that Contractor’s failure to remit to Enterprise Services timely payment of the VMF shall obligate Contractor to pay to Enterprise Services, to offset the administrative and transaction costs incurred by the State to identify, process, and collect such sums. the sum of $200.00 or twenty-five percent (25%) of the outstanding amount, whichever is greater, or the maximum allowed by law, if less. Enterprise Services reserves the right, upon thirty (30) days advance written notice, to increase, reduce, or eliminate the VMF for subsequent purchases, and reserves the right to renegotiate Master Contract pricing with Contractor when any subsequent adjustment of the VMF might justify a change in pricing.

  • Helpdesk Customers must contact LightEdge Support to report service trouble or an outage with LightEdge Technical Support. LightEdge Technical Support will be available seven (7) days per week; twenty-four (24) hours per day; three hundred sixty-five days (365) days per year. LightEdge Technical Support provides support for network monitoring, trouble ticket resolution, and fault isolation up to the termination point of LightEdge provided Equipment. LightEdge Technical Support will accept trouble and outage related support calls from any customer representative. LightEdge will not perform any requested activity which may cause Service disruption or perform any changes to Service unless request is initiated by an Authorized Contact. LightEdge reserves the right to delay response on support tickets opened by anyone other than the Authorized Contact. Communication between Customer and LightEdge not initiated by Authorized Contact will not be subject to SLA remedies. All communications with Customer will be in the English language.

  • Synchronization The Licensor hereby grants limited synchronization rights for One (1) music video streamed online (Youtube, Vimeo, etc..) for up to 500,000 non-monetized video streams on all total sites. A separate synchronisation license will need to be purchased for distribution of video to Television, Film or Video game.

  • Infrastructure Vulnerability Scanning Supplier will scan its internal environments (e.g., servers, network devices, etc.) related to Deliverables monthly and external environments related to Deliverables weekly. Supplier will have a defined process to address any findings but will ensure that any high-risk vulnerabilities are addressed within 30 days.

  • Statewide HUB Program Statewide Procurement Division Note: In order for State agencies and institutions of higher education (universities) to be credited for utilizing this business as a HUB, they must award payment under the Certificate/VID Number identified above. Agencies, universities and prime contractors are encouraged to verify the company’s HUB certification prior to issuing a notice of award by accessing the Internet (xxxxx://xxxxx.xxx.xxxxx.xx.xx/tpasscmblsearch/index.jsp) or by contacting the HUB Program at 000-000-0000 or toll-free in Texas at 0-000-000-0000.
