Mitigation of Taxes. Parent and the Company shall, upon written request, use commercially reasonable efforts to obtain any certificate or other document from any Governmental Entity or any other Person as may be necessary to mitigate, reduce or eliminate any Tax that could be imposed (including with respect to the transactions contemplated in this Agreement).

The Parties understand, however, that the covenants set forth in this Section 9(a) do not constitute any representation or warranty as to the tax effects or treatment of the transactions contemplated hereby.
