Modification, Consent, etc. If the Company requests or consents in writing to any modification or extension of any Letter of Credit, or waives in writing any failure of any draft, certificate or other document to comply with the terms of such Letter of Credit, and if the Letter of Credit Issuer consents thereto, the Letter of Credit Issuer shall be entitled to rely on such request, consent or waiver. This Agreement shall be binding upon the Company with respect to such Letter of Credit as so modified or extended, and with respect to any action taken or omitted by such Letter of Credit Issuer pursuant to any such request, consent or waiver.

This Agreement shall be binding upon the Domestic Borrower with respect to such Domestic Letter of Credit as so modified or extended, and with respect to any action taken or omitted by such Domestic Letter of Credit Issuer pursuant to any such request, consent or waiver.
