Common use of Modification of Documents and Charter Clause in Contracts

Modification of Documents and Charter. Neither the Borrower nor any of its Subsidiaries will consent to or agree to any amendment, supplement or other modification, or amend or permit to be amended its certificate of incorporation or bylaws, or similar organizational documents unless such change or amendment is immaterial and ministerial in nature and would not have any material adverse effect on the Agent's or the Banks' rights under the Loan Documents or the Borrower's or any of its Subsidiaries' obligations under the Loan Documents.
